Lauréanne Allen joined the Quebec City office in 2011, and has worked as a paralegal since 2013. Ms. Allen supports the firm’s corporate lawyers in preparing the documents required for the incorporation and organization of corporations. She drafts amendments to the articles of incorporation, as well as continuances, dissolutions and the documents for the registration of corporations, both in Quebec and other jurisdictions. She reviews corporate status and updates minute books and corporate records. She assists in preparing closing documents, contracts and resolutions pertaining to the purchase and sale of assets, as well as tax and corporate reorganizations.
Ms. Allen also assists the lawyers practising in the firm's Financing Group. She participates in drafting agreements and other documents, such as postponement agreements and powers of attorney, and conducts due diligence reviews in connection with the cancellation of movable hypothecs and other rights. Lastly, Ms. Allen performs searches in the various computerized registers, including corporate registers, the register of personal and movable real rights (RDPRM), bankruptcy registers, court dockets and the Federal Court registers, for the purpose of evaluating the results and drafting search reports.
