  1. Closing of the sale of Camso Inc. to Michelin | The key project management role played by lawyers

    On December 18, 2018, Michelin completed the acquisition of Camso, a world leader in the manufacture of tires and tracks for off-road vehicles. Apart from its value of US$1.7 billion, what distinguishes this transaction from others is its complexity and the role played by the lawyers involved in the legal management of the project. Lavery had an opportunity to play a dual role in this major transaction: we assisted our long-time client, Camso Inc., in selling all the shares of its share capital, and we also represented the two majority shareholders: the Caisse de dépôt et placement du Québec (CDPQ) and the Fonds FTQ. Camso owns nearly 50 companies, which include manufacturing and distribution companies, as well as investment and trading companies in 26 different countries. Managing the integration of the different legal realities of the jurisdictions in which the companies operate was crucial in order to complete Michelin’s acquisition of Camso. Acting as much more than legal advisers, the lawyers involved were called on to coordinate the different aspects of the deal, brief the various parties and adapt to their cultural differences, and manage the different features and particular needs of Camso’s 50 companies on a case-by-case basis to ensure that they complied with Michelin's legal and administrative structure. The transaction also stood out due to the integrated approach of the legal services provided by our team. It coordinated issues related to commercial law, labour and employment law, and dispute resolution. In collaboration with the firm Baker McKenzie, the depth of expertise of the Lavery team, led by Édith Jacques and mainly involving Jean-Sébastien Desroches, Judith Houle-Couture, Pierre-Olivier Valiquette and Felicia Yifan Jin, made it possible to successfully carry out this complex mandate that brought together two world leaders in their industry.

  3. Louis Charette, Guillaume Lavoie, Judith Houle-Couture and Guillaume Synnott participate in the Fondation Montréal Inc.’s speed-coaching event

    Louis Charette, Guillaume Lavoie, Judith Houle-Couture and Guillaume Synnott participated in a speed-coaching event on December 8 during which volunteers provided quick consultations to entrepreneurs.  During the evening, our lawyers acted as coaches to answer questions related to business financing, commercial law, insurance law, commercial litigation and franchise law. This approach, suggested by the Fondation Montréal Inc., is greatly appreciated by all participants as it is tailored to their specific needs.   4. Marie-Hélène Jolicoeur and Judith Houle-Couture attend the Fondation Montréal Inc. benefit soirée

    Marie-Hélène Jolicoeur, partner and Judith Houle-Couture, lawyer, attended this annual celebration of entrepreneurship in Montréal. Thanks to participants, the Soirée Montréal Inc. raised $200,000 that will be redistributed in grants and services in the form of advice to young Montréal entrepreneurs. Martin Roldan of Phazon also received the Prix Montréal Inc., awarded to the most outstanding entrepreneur. Fondation Montréal Inc. is a not-for-profit organization whose mission is to encourage the success of a new generation of Montréal entrepreneurs through donations and volunteers from the business community. Lavery is very active in this organization and has contributed $25,000 ($5,000 annually for five years) in addition to providing the services of seven lawyers who volunteer as coaches (Louis Charrette, Judith Houle-Couture, Marie-Hélène Jolicoeur, Nicolas Joubert, Tereza Kristic, Guillaume Lavoie and Guillaume Synnott).   5. Judith Houle-Couture Presents Lavery Award to Popupcamp at the Fondation Montréal Inc. 2016 Rendez-vous

    On June 8, 2016, Business Law Group member Judith Houle-Couture presented the Lavery award to Popupcamp, a mobile drop-in day care centre for corporate events. Awards were presented during the start-up Rendez-vous Montréal inc., the annual award ceremony held by Fondation Montréal inc., whose mission is to support young Montreal entrepreneurs through bursaries and coaching services.   6. Lavery proud to pursue its tradition of contribution to the development of entrepreneurship by supporting Fondation Montréal inc.

    Lavery, through its Lavery GO inc. Program and Lavery Capital group makes an aggregate $25,000 donation ($5,000 annually over five years) to Fondation Montréal inc., while supplying the services of five volunteer-lawyers to act as coaches over the same period. In addition to Guillaume Lavoie, a business law partner, and Louis Charette, a litigation partner at Lavery, both long time volunteers at the Fondation, the following lawyers will lend a hand to the Fondation’s initiatives, which include supporting start-up businesses and awarding grants to new entrepreneurs: Nicolas Joubert, labour, employment and immigration law partner; Marie-Hélène Jolicoeur, labour and employment law partner; and Judith Houle-Couture, business law associate. This donation and this volunteering follow a well-established tradition of Lavery of support to the development of entrepreneurship. While the Lavery GO inc. Program provides start-ups with a unique, personalized and affordable program allowing them to access a full range of legal services at competitive prices taking in account their reality, the Lavery Capital group is a key partner of venture capital fund managers who allow these start-ups to achieve exceptional growth. Program and Lavery Capital are therefore able and proud to expand further their contribution to the development and growth of Québec start-ups.

  7. Lavery on the podium at the St-Lambert Triathlon

    About 10 members of the firm took part to various sports during the 28th edition of the St-Lambert Triathlon, on July 11, 2015. This prestigious event, which gathered over 700 athletes, is organized by the St-Lambert Triathlon Club, which Nicolas Joubert, a Lavery partner, cofounded. Lavery has been a partner of this provincial competition for over a decade. For another year, the firm has held its own. The remarkable performances of Lavery’s team needs to be highlighted, notably Zila Savary (swimming), Isabelle Richard (biking) and Judith Houle-Couture (running), silver medallists in the category “Triathlon Women Relay”, as well as Stéphanie Destrempes, Anne-Sophie Lamonde and Charles Ceelen-Brasseur, medallists in the 5K run in their respective categories.   8. Members of the Lavery GO inc. Committee participate in the 48h Entrepreneurs event

    Numerous Committee members of the Lavery GO inc. Program took part on May 1st and 2, 2015 in the 48h Entrepreneurs, an initiative of the Jeune Chambre de commerce de Montréal and the Regroupement des Jeunes Chambres de commerce du Québec whose program is entirely dedicated to Quebec entrepreneurship. On May 1st, Lavery held a stand throughout the day at the Salon des entrepreneurs of the Palais des congrès de Montréal, where they presented the Lavery GO inc. Program to the many participants of the 48h Entrepreneurs. Four teams comprised of Committee members of the Lavery GO inc. Program held the fort in rotation: Guillaume Synnott and Judith Houle-Couture, Étienne Brassard, Raphaël Bacal and Élodie Brunet, Ariane Lauzière and Anne-Sophie Lamonde as well as Jean-Philippe Latreille and Rhonda Grintuch. On May 2, Mr. Brassard, a Business Law partner and Coordinator of the Lavery GO inc. Program, took part in the Startup Next Demo Night, which was held at La Caisse de dépôt et placement du Québec in Montreal. On this occasion, four tech startups presented their businesses to a panel of four judges comprised of Mr. Brassard, Ty Denco (Director, Techstars), Maryse Gingras (Director, Futurpreneur Canada), Alexandre Guertin (Investment Associate, Teralys Capital) and Simon Lapointe (Audit Director, Richter). Following the judges’ deliberations, the startup MakerBloks was crowned winner of the competition.
