  3. Lavery acts on behalf of Vert Médical within the scope of its acquisition by Canopy Growth Corporation

    On November 1, 2016, Canopy Growth Corporation acquired Vert médical, a Quebec-based producer of medical marijuana. Lavery represented Vert médical in this file. Vert médical is a company that’s currently awaiting an authorized producer permit from Health Canada that will allow it to legally grow medical marijuana in its ultramodern plant in Saint-Lucien. In return for Vert médical’s shares, Canopy Growth assumed a debt of approximately $500,000 and acquired the lease and the right of purchase on 90 acres of land and a 7,000-sq.-ft. administrative center and indoor growing plant. Moreover, it will issue Canopy shares – close to 300,000, to be issued progressively as a function of reaching certain milestones – to former shareholders. Canopy also simultaneously acquired 75 % of the issued and circulating shares of Groupe H.E.M.P.ca, in return for a payment $300,000, the issuance of close to 260,000 capital shares and the assumption of certain debt obligations. Lavery’s team consisted of Marilyn Paré and Alicia De Praeter, lawyers in the Business law group. Over the course of the mandate, they were supported by Vincent Towner and Mylène Boisvert (Real estate), Dave Bouchard (Employment law) and Guillaume Synnott and Josianne Beaudry (Securities).

  4. Lavery acted on behalf of Osisko Gold Royalties Ltd in connection with a bought deal offering

    A team of lawyers comprised of Josianne Beaudry and Isabelle Richard acted on behalf of Osisko Gold Royalties Ltdin connection with a bought deal offering of 11,431,000 units for gross proceeds of approximately $173 million. The units issued under the offering were offered by way of a short form prospectus filed in all provinces of Canada. The financing closed at the end of February 2016. The units were sold through a syndicate of underwriters co-led by BMO Capital Markets and RBC Capital Markets and included National Bank Financial Inc., Macquarie Capital Markets Canada Ltd., CIBC World Markets, Haywood Securities Inc., Scotia Capital Inc., TD Securities Inc., Cormark Securities Inc., Dundee Securities Ltd. and Paradigm Capital Inc.

  5. A team of lawyers from Lavery represented Clifton Star Resources Ltd. as part of a major transaction

    A team of lawyers from Lavery represented Clifton Star Resources Ltd. ("Clifton") in a transaction with First Mining Finance Corp. ("First Mining"), where First Mining acquired all the shares of Clifton, in exchange for shares of First Mining. The transaction was effected by way of a scheme of arrangement and was completed in April 2016. The firm has prepared and reviewed the documents related to this transaction, including the Arrangement Agreement and the information circular for Clifton shareholders meeting. Lavery’s team consisted of Josianne Beaudry, Philip Nolan, Jean-Yves Simard, Nicole Messier and Mylène Vallières.

  6. NioGold Mining acquired by Oban Mining

    Oban Mining Corporation, a mining company based in Ontario, has acquired all of the common shares of its Quebec counterpart, NioGold Mining Corp. This transaction was completed by way of an arrangement plan under the Business Corporations Act (British Columbia).  A Lavery team composed of Isabelle Richard, Josianne Beaudry, and René Branchaud prepared and reviewed the documents related to this transaction, including the arrangement agreement and the information circular for NioGold’s shareholders’ meeting.

  7. Mont Sutton ski resort acquired by the Ryan group

    Ski Sutton Inc. has been acquired by a group of private investors composed of managers of the ski resort. The transaction was carried out by way of an arrangement and was concluded for $7.5 million in March 2016. The Lavery team, composed of Isabelle Richard, Mylène Vallières, Josianne Beaudry, Luc Borduas, Jean-Yves Simard, and René Branchaud represented Ski Sutton Inc.’s controlling shareholders in the sale of the shares and its privatization. It also prepared the documents for this transaction, including the arrangement agreement and the information circular for the shareholders’ meeting, and obtained the court’s approval to proceed with the transaction.

    Guillaume Lavoie and Josianne Beaudry, Business Law partners at Lavery, published an article in the 2015/2016 Lexpert CCCA/ACCJE Corporate Counsel  Directory & Yearbook magazine on September 28, 2015.
