Professional disciplinary matters: The Professions Tribunal reiterates the conditions required to accept a guilty plea

In the Henry decision rendered on January 16, 2026,1 the Professions Tribunal reiterated what framework applies to a guilty plea in disciplinary matters. In this case, the professional had pleaded guilty during his conviction hearing. After having ascertained that his pleas were made freely and voluntarily, the Disciplinary Council of the Ordre des dentistes (the “Council”) declared him guilty. However, the Council had not ensured that the professional admitted to the facts relating to the key elements of the offences at issue. During the penalty hearing, the professional raised questions about his guilty pleas. Although the Council had considered whether his pleas were valid and whether to withdraw them and return the case to a conviction hearing, the hearing continued and penalties were imposed on the professional. On appeal of the Council’s decision, the Professions Tribunal concluded that the Council had erred in accepting the professional’s guilty pleas when it had become clear that he denied the facts put forward in support of the charges against him. The Professions Tribunal concluded that the Disciplinary Council of the Ordre des dentistes had erred in accepting the appellant’s guilty plea when it had become clear that he denied the facts put forward in support of the charges against him. The Professions Tribunal reasons were based on the following: The Professional Code2 contains no specific provisions governing the entering of a guilty plea.3 In the absence of specific rules, disciplinary law can draw inspiration from the criteria developed in criminal and penal law.4 By pleading guilty, the professional waives their right to a formal investigation and associated procedural safeguards.5 Pleading guilty is a significant decision in disciplinary proceedings, as it inevitably brings the investigation to a close and has detrimental consequences on the professional who pleads guilty.6 This decision serves as a reminder of the two-prong test7 a Disciplinary Council must use to accept a guilty plea: Admission by the professional: The professional must have formally admitted to the key legal elements of the offence.8 To be valid, a guilty plea must be voluntary, unequivocal and made with full knowledge of its effects and consequences.9 Acceptance by the Council: The Council may only accept the plea after ensuring that the professional knows and understands the nature of the offence they are charged with and the effects of their guilty plea. The Council must also confirm that the professional admits to the facts relating to the key elements of the offence in question.10 This decision also introduces the requirement to submit a joint statement of the facts11 or provide an account of the facts that led to the offences in order to properly contextualize them.12 Failure to comply with these requirements could result in the professional’s guilty plea being contested or dismissed by the Disciplinary Council. More recently in the Fernandez decision,13 the Disciplinary Council of the College des médecins was called upon to rule on whether the requirements of the Henry decision applied, in particular regarding the filing of a joint statement or account of the facts giving rise to the offences. In this case, the Council had taken cognizance of the Henry decision after having accepted the professional’s guilty plea, and no joint statement had been filed. After allowing the parties to present their observations, the Council declared itself satisfied with the parties’ claims that the Fernandez case differed from the Henry case in that Dr. Fernandez had admitted to the facts relating to the essential elements of the charge, that he had filed a 17-page statement, and that the Syndic had filed documents containing the accounts of eight patients. It will be interesting to follow how case law will develop on this issue to confirm what direction the various disciplinary councils will take. Summary A guilty plea may expedite the disciplinary process, but it has the effect of depriving the accused professional of certain procedural safeguards. It is important to ensure that the conditions of validity and acceptance of a guilty plea are met, otherwise it may be dismissed or overturned on appeal. Summary evidence must be taken before a professional pleads guilty, whether it be through the filing of a joint statement of facts, the presentation of an account of the facts by one of the parties or the submission of documentary evidence. Data Anonymization: Not as Simple as It Seems

Blind spots to watch for when anonymizing data Anonymization has become a crucial step in unlocking the value of data for innovation, particularly in artificial intelligence. But without a properly executed anonymization process, organizations risk financial penalties, legal action and serious reputational harm, with potentially significant consequences for their operations. Understanding the anonymization process What the law says Under Quebec’s Act respecting the protection of personal information in the private sector (the “Private Sector Act”) and the Act respecting Access to documents held by public bodies and the Protection of personal information (the “Access Act”), information concerning a natural person is considered anonymized if it irreversibly no longer allows the person to be identified directly or indirectly. Since anonymized information no longer qualifies as personal information, this distinction is of crucial importance. However, beyond this definition, neither Act provides details on how anonymization should actually be performed. To fill this gap, the government adopted the Regulation respecting the anonymization of personal information (the “Regulation”), which sets out the criteria and framework for anonymization, grounded in high standards of privacy protection. What organizations need to know before starting Under the Regulation, before beginning any anonymization process, organizations must clearly define the “serious and legitimate purposes” for which the data will be used. These purposes must comply with either the Private Sector Act or the Access Act, as applicable, and any new purpose must meet the same requirement. The process must also be supervised by a qualified professional with the expertise to select and apply appropriate anonymization techniques. This supervision ensures both the proper implementation of the chosen methods and the ongoing validation of technological choices and security measures. The four key steps of data anonymization DepersonalizationThe first step is to remove or replace all personal identifiers, such as names, addresses and phone numbers, with pseudonyms. It is essential to anticipate how different data sets might interact, in order to minimize the risk of re-identifying individuals through cross-referencing. Preliminary risk assessmentNext comes a preliminary analysis of re-identification risks. This step relies on three main criteria: individualization (inability to isolate a person within a dataset), correlation (inability to connect datasets concerning the same person) and inference (inability to infer personal information from other available information). Common anonymization techniques include aggregation, deletion, generalization and data perturbation. Organizations should also apply strong protective measures, such as advanced encryption and restrictive access controls, to minimize the likelihood of re-identification. In-depth risk analysisAfter the preliminary phase, a deeper risk analysis must be conducted. While no anonymization process can eliminate all risk, that risk must be reduced to the lowest possible level, taking into account factors such as data sensitivity, the availability of public datasets and the effort required to attempt re-identification. To sustain this low level of risk, organizations should perform periodic reassessments that account for technological advances that could make re-identification easier over time. Documentation and record-keepingFinally, organizations must keep a detailed record describing the anonymized information, its intended purposes, the techniques and security measures used, and the dates of any analyses or updates. This documentation strengthens transparency and demonstrates that the organization has fulfilled its legal obligations regarding anonymization.

Reminder: Canada’s Modern Slavery Act Report Due by May 31, 2025

Many Canadian entities and other entities conducting business in Canada have reporting obligations under the Fighting Against Forced Labour and Child Labour in Supply Chains Act (the “Modern Slavery Act”), which came into effect on January 1, 2024. These obligations include completing an online questionnaire and filing an annual report on the steps taken to prevent and reduce the risk of forced labor or child labor in their supply chain. The Modern Slavery Act applies to government institutions producing, purchasing or distributing goods in Canada or elsewhere, and to “entities” producing goods in Canada or elsewhere or importing goods produced outside Canada or controlling such entities. An "entity" refers to organisations that are listed on a Canadian stock exchange or have a business presence or assets in Canada and satisfy certain thresholds related to assets, revenue, or number of employees. As organizations prepare for the upcoming reporting deadline of May 31, 2025 - a second report for many - they should consider the following: It is useful to review guidelines, which were updated by Public Safety Canada in November 2024 to clarify key terms such as assets, goods, and importer. Failure to submit the report in accordance with the Modern Slavery Act may result in substantial penalties, including fines and potential liability for the directors, officers, and employees involved. The report must encompass a broad range of information, receive approval from the entity's governing body, and include the required attestation. Sufficient resources and time should therefore be allocated to the preparation and approval of the report. In summary, reporting entities and governmental institutions subject to the Modern Slavery Act should promptly review their obligations and gather the necessary information for their reports. Timely and accurate reporting is crucial to avoid legal and financial consequences. 2025-2026 Quebec Budget: A review of Quebec mining taxation - Challenges to be met, opportunities to be seized

On March 25 last, the Quebec Minister of Finance unveiled his 2025-2026 budget, which significantly transforms the tax landscape of the mining sector in Quebec. This budget introduces major changes to the flow-through share regime and to the tax credit relating to resources, which will have significant implications for investors and businesses in the natural resources sector. Changes to the flow-through share regime Abolition of both 10% additional deductions As part of the review of its tax expenditures, the government has decided to adjust the flow-through share regime. As a result, the following deductions have been abolished: the additional 10% deduction for certain exploration expenses incurred in Quebec by a mining corporation that does not exploit any mineral resources; the additional 10% deduction for certain surface mining exploration expenses incurred in Quebec by a mining corporation that does not exploit any mineral resources. With some exceptions1, these changes will apply to flow-through shares issued after March 25, 2025. It should also be noted that the budget abolishes the additional capital gains exemption resulting from the divestiture of certain resource-related properties, such as flow-through shares. On the other hand, the additional deduction for certain issuance costs seems to be maintained. Changes to the tax credit relating to resources Despite these abolitions, the budget does include some positive news for the critical and strategic metals sector. The budget provides for a temporary increase in the rates of the tax credit relating to resources for eligible expenses related to critical and strategic minerals. Until December 31, 2029, a 45% tax credit rate will apply to these costs for eligible corporations, that is, those that do not exploit any mineral resources, and 20% for other eligible corporations, that is, those that exploit mineral resources. For the purposes of the tax credit relating to resources, critical minerals will refer to the following minerals: antimony, bismuth, cadmium, cesium, copper, tin, gallium, indium, tellurium and zinc. Strategic minerals are defined as cobalt, rare earth elements, platinum group elements, graphite (natural), lithium, magnesium, nickel, niobium, scandium, tantalum, titanium and vanadium. Several other technical changes have also been made to the tax credit relating to resources. These will be the subject of a more detailed bulletin at a later date. The changes introduced by the 2025-2026 Quebec budget will certainly have an impact on the tax planning of enterprises and investors in the natural resources sector.
