  1. Seven partners named as Canadian leaders in finance and mergers and acquisitions by Lexpert

    On April 16, 2025, Lexpert recognized the expertise of seven of our partners in its 2025 Lexpert Special Edition: Finance and M&A. Josianne Beaudry now ranks among Canada’s leaders in the area of finance and Étienne Brassard, Jean-Sébastien Desroches, Édith Jacques, Paul Martel and André Vautour are among Canada’s leading lawyers in mergers and acquisitions. The combination of Moov AI’s best-in-class consulting, proprietary solutions and insights coupled with Publicis Groupe’s CoreAI offering will add a powerful AI-driven engine and set of capabilities for Publicis Groupe Canada to leverage in-market and with its clients. Francis Dumoulin had the privilege of representing and advising Moov AI shareholders in the sale to Publicis Groupe, with Alexandre Hébert’s support and Siddhartha Borissov-Beausoleil’s contribution in closing the transaction.   3. Lavery Advises Technicolor Canada on the Sale of Mikros Animation

    This March 25th, 2025, the Superior Court of Quebec approved the sale of "Mikros Animation", the cartoon animation division of Technicolor Canada, Inc., a Canadian subsidiary of the Technicolor Group. Lavery had the privilege of advising Technicolor Canada on this transaction, which was part of the court-ordered reorganization of the corporations that make up the Technicolor Group. Simultaneously with the acquisition of the assets of the "Mikros Animation" division in Quebec, the buyer, RodeoFx, will also acquire the assets of the "Mikros Animation" division in France. This would greatly facilitate the closing of the transaction, considering that the Technicolor group is an internationally integrated company. Still due to the international component of the "Mikros Animation" division's operations, this simultaneous acquisition of it's assets in Quebec and France required the unprecedented collaboration of the Tribunal des Activités Économiques de Paris and the Quebec Superior Court. Completion of the transaction will ensure the continued operation of the "Mikros Animation" division in both Quebec and France and preserve up to 207 jobs in Montreal in the specialized field of animation, in addition to the 80 jobs in the "Mikros Animation" division in France. The Lavery team led by Sébastien Vézina and Jean Legault also included Martin Pichette, Marc Ouellet, Jessica Parent, Ouassim Tadlaoui, David Tournier, David Choinière, Jean-Paul Timothée and Yasmine Belrachid.   4. Lavery assists Fancamp Exploration Ltd. in a joint venture agreement with Platinex Inc.

    On March 13, 2023, Fancamp Exploration Ltd. (Fancamp) officially announced that it had entered into a joint venture agreement with Platinex Inc. (Platinex) to further explore and promote certain gold mining properties located in Ontario and owned by the two entities. The transaction involved Fancamp transferring its Heenan Mallard and Dorothy mining properties to South Timmins Mining Inc. (Goldco), a wholly-owned subsidiary of Platinex, in exchange for shares representing 25% of Goldco's issued and outstanding shares and a 1% royalty on the properties to Platinex. The transaction also included a shareholder agreement providing for the governance of Goldco's activities. Fancamp subscribed for a number of shares representing 9.5% of Platinex's issued and outstanding shares. Lavery was privileged to represent Fancamp in this important mandate led by Jean-Paul Timothée and Alexandre Turcotte. -- Fancamp is a growing Canadian mineral exploration corporation dedicated to its value-added strategy of advancing its priority mineral properties through exploration and innovative development.   5. Lavery represents ImmunoPrecise Antibodies as it acquires BioStrand

    On March 29, 2022, ImmunoPrecise Antibodies Ltd (IPA) announced that it acquired BioStrand BV, BioKey BV, and BioClue BV (together, “BioStrand”), a group of Belgian entities pioneers in the field of bioinformatics and biotechnology.   6. Lavery is representing Walter Innovations Inc. in its acquisition by Golo Mobile Inc.

    On July 7, 2020, Golo Mobile Inc., a company listed on the TSX Venture Exchange that specializes in eco-delivery in large business centres, announced the acquisition of Walter Innovations Inc., a building automation technology start-up that has created a solution to connect property managers and residents of condominiums and apartment buildings. A Lavery team composed of Étienne Brassard, Éric Lavallée and Jean-François Maurice represented the selling shareholders of Walter Innovations Inc. in an exit context, allowing Walter's initial investors and entrepreneurs to successfully sell the company and its underlying technology. More concretely, the Lavery team assisted the sellers in negotiating and implementing a transaction structure adapted to their objectives and to the consideration offered by the buyer, i.e. publicly traded shares. Through a holdback of a portion of the shares and an alignment between the duration of the holdback and the obligations of the sellers, our team enabled the seed investors to make a profitable exit and the selling shareholders involved in the direct management of Walter Innovations Inc. to transition as key employees of Golo Mobile Inc. while aligning the interests of the buyer and the sellers in order to achieve a result that is beneficial to all parties.

  7. Lavery welcomes Eric Stevenson, ex-superintendent, client services and distribution oversight at the AMF to its Business Law group

For Eric Stevenson, this represents a return to his roots, given that he worked for the firm prior to joining the Autorité des marchés financiers (AMF).
