Spectra Premium Industries: Caisse de dépôt et placement du Québec, Fondaction CSN, and Fonds de solidarité FTQ acquire $45 million interest in its share capital
Caisse de dépôt et placement du Québec (CDPQ), Fondaction CSN, and Fonds de solidarité FTQ acquired interest in the share capital of Spectra Premium, a North American leader in the design, manufacturing, and distribution of automotive components for the aftermarket. This transaction will enable Spectra Premium not only to maintain ownership of the company in Quebec by reorganizing its share ownership but also to continue its expansion in North America and in global markets. The Caisse invested $28.3 million, while Fondaction CSN invested $15 million. The Fonds de solidarité FTQ, main shareholder of Spectra Premium, injected an additional $2 million into the company. A Lavery team represented Spectra Premium in this transaction. The group was lead by Luc Pariseau and included Richard Burgos, Raphaël Bacal (commercial law), and Jean-Philippe Latreille (taxation).

Jean-Philippe Latreille, member of the 2014-2015 Incubator Series of the Young Directors of IGOPP
April 9, 2015 marked the conclusion of the 2014-2015 edition of the Incubator Series for Young Directors of the Institute for Governance of Private and Public Organizations (IGOPP), in which Mr. Jean-Philippe Latreille, Business Law lawyer at Lavery, took part. Members of this group were selected based on the quality of their application, their motivation, their professional, academic and social background, and their interest for governance. The Young Directors of IGOPP aim to educate, prepare, and involve the Quebec and Canadian business communities by organizing interesting events and by spreading information through social media with the ultimate goal of sensitizing young professionals to the great challenges in governance facing public and private organizations.

Emmanuel Sala and Jean-Philippe Latreille of Lavery, authors of an article in the Mining Journal
Mr. Emmanuel Sala and Mr. Jean-Philippe Latreille, a Business Law partner and associate at Lavery respectively, are the authors of an article entitled “A Fiscal Struggle” that was published in the February 2015 special issue of the Mining Journal which will be distributed at the annual Prospectors and Developers Association of Canada (PDAC) Convention in Toronto. The Mining Journal is a prestigious British publication which covers all aspects of the mining industry, including exploration, financing, development, production and marketing. In their article, Messrs. Sala and Latreille discuss the changes to the Mining Act, the pending adoption of the changes to the Mining Tax Act, and the need for mining businesses to obtain equitable tax treatments, especially in light of the recent administrative developments. Audrey Gibeault and Jean-Philippe Latreille of Lavery, speakers at a RJCCQ webinar
On February 23, 2015, Audrey Gibeault and Jean-Philippe Latreille, business lawyers at Lavery, made a presentation at a webinar organized by the Regroupement des jeunes chambres de commerce du Québec (RJCCQ) relating to tax and legal aspects of starting up a business. During this presentation, various subjects were discussed such as the legal vehicle to choose to operate a business, and incorporation and GST/QST matters.

Mr. Emmanuel Sala and Mr. Jean-Philippe Latreille, a Business Law partner and associate at Lavery respectively, are the authors of an article entitled “Quebec gov't to stabilize legislative framework for mining” published in the March 2, 2015 special issue of The Northern Miner which will be distributed at the annual Prospectors and Developers Association of Canada (PDAC) Convention in Toronto.
