  1. Lavery represents the Caisse de dépôt et placement du Québec with respect to an investment of $98.5 M in GENIVAR

    The law firm Lavery is pleased to announce that it has represented the Caisse de dépôt et placement du Québec (hereinafter the « Caisse ») in connection with a $98.5 M investment in the company GENIVAR. This investment is part of the proposed acquisition by GENIVAR of UK-based WSP Group plc, a consulting firm with operations in more than 30 countries. The Lavery team was headed by Jean-Sébastien Desroches (mergers and acquisitions) and included namely Josianne Beaudry (securities law), Sive Burns (mergers and acquisitions) and Jean Tessier (securities law). With regards to this transaction, the Caisse subscribed for 4,105,305 subscription receipts in GENIVAR inc. [TSX: GNV]. The subscription was made through private placement and the closing date of this subscription is scheduled close to June 27, 2012. Under the terms of the Subscription Agreement, each subscription receipt will be issued at a unit price of $24 for a total purchase price of $98,527,320. Each subscription receipt gives the right to receive, following the closing of the acquisition of WSP Group plc, one common share of GENIVAR’s share capital, without additional consideration or formality.

  6. An economic South-North Mission in the Plan Nord Territory

    Lavery, in collaboration with PriceWaterhouseCoopers, Québec Manufacturers and Exporters, Investissement-Québec, and AGC Communications, is organizing a South-North economic mission within the Plan Nord territory. From June 17 to 19, we will guide the executives of companies and organizations that would like to take advantage of the new business opportunities that Plan Nord will generate. The program includes guided tours of mining development facilities owned by Xstrata in Matagami, Arcelor Mittal in Mont-Wright, and Rio Tinto/IOC in Labrador City, meetings with the executives of these companies, and business meetings with the mayors, economic development agents, major work providers, local entrepreneurs, and Aboriginal communities living on the territory.   7. Appointment of Michel Yergeau as Judge of the Superior Court of Québec

  8. A third term for Frédéric Pagé on the Board of Directors of the Young Bar Association of Montreal (YBAM)

    During its Annual General Meeting, held in Montreal on May 18, the YBAM announced the election results for various positions. Frédéric Pagé, a lawyer at Lavery, was elected for a third term as administrator on the YBAM Board of Directors for year 2012-2013. Founded in 1898, the YBAM represents lawyers with 10 years or less of practice, registered in the Montreal area. The mission of the YBAM is to defend and promote its members’ interests. It also offers various segments of the population consulting and legal information on a volunteer basis, besides organizing charitable activities. Overall, the YBAM seeks to improve access to justice and to contribute to the well-being of the community.

  9. René Branchaud quoted in an article published in La Presse about the Plan Nord

    Mr. René Branchaud, partner at Lavery and an expert in mining law, is quoted in an article published in La Presse newspaper on May 3 and entitled "Les fusions venues du froid". Mr. Branchaud points out that the Plan Nord generates significant interest with mining industry suppliers (ex.: equipment, technology, services, etc.) and Asian corporations, particularly from China.
