    On March 29, 2022, ImmunoPrecise Antibodies Ltd (IPA) announced that it acquired BioStrand BV, BioKey BV, and BioClue BV (together, “BioStrand”), a group of Belgian entities pioneers in the field of bioinformatics and biotechnology.     On September 22, the Canadian Hockey League (CHL) announced Saint John as the host city for the 2022 Memorial Cup.     On April 20, 2021, GroupAssur, a managing general agent (MGA) offering specialty insurance products across Canada, announced its merger with our client Evolution Insurance, a wholesaler specializing in the underwriting of complex liability and construction risks.     On January 16, Soccer Québec and the Montreal Impact announced a partnership to boost the popularity and quality of Quebec soccer. Lavery had the opportunity to support Soccer Québec in reaching this agreement, which is the first in Canada between a professional soccer club and a provincial sporting federation. The main subject of this agreement is the long-term acquisition of Soccer Québec’s commercial and marketing rights by the Montreal club until the FIFA World Cup in 2026 in North America.   22. Lavery contributes to the international expansion of the entertainment industry

    On December 2, Montreux Comedy and Groupe Juste pour rire (JPR) announced the establishment of an alliance between the two organizations. The aim of this historic collaboration between the two largest French-language comedy festivals in the world is to create original products and content on both sides of the Atlantic and to enable the co-production and co-promotion of an international French-language gala in Montréal and in Montreux, Switzerland. Lavery advised and represented Montreux Comedy in the drafting and negotiation of the agreement for this bold project, particularly on aspects related to the creation of content for digital and traditional broadcasting platforms.     As legal advisors for the Quebec portion of the transaction, Lavery represented the affiliates of Aspen Skiing Company, LLC and KSL Capital Partners, LLC during the acquisition of Intrawest Resorts Holdings, Inc., a ski resort operator and adventure company in North America that owns Mont Tremblant Resort in Quebec. The transaction closed on July 31, 2017, for an approximate aggregate value of US$1.5 billion and created a new entity with a property portfolio of 12 four-season mountain resorts, 20,000 skiable acres, significant land available for real estate development, and Canadian Mountain Holidays, a leading heli-ski operator.   29. A hat trick for Sébastien Vézina, appointed independent arbitrator for the QMJHL

    On August 25, Sébastien Vézina, a partner of the Business Law group, was selected for the third consecutive year to sit as an independent arbitrator for the Quebec Major Junior Hockey League (QMJHL), one of the three major junior leagues which constitute the Canadian Hockey League (CHL). The three QMJHL independent arbitrators sit on a rotating basis and review official decisions of the QMJHL, the Commissioner, or the Board of Governors, that may be appealed. This appointment contributes to the sound governance and integrity of the league by having an independent party intervene in decisions subject to an appeal.   30. Lavery represents athlete and former Olympian in athletics Bruny Surin in a dispute

    Sébastien Vézina, a partner of the Business Law group, together with Martin Pichette and Frédéric Laflamme, respectively a partner and a lawyer of the Litigation and Conflict Resolution group, are representing Bruny Surin in a dispute instituted against a sporting goods manufacturer. Mr. Surin alleges that the business used his name on a brand of running shoes without his consent. Thanks to Lavery, Bruny Surin won the first step in the proceeding as the Superior Court dismissed the defendant’s motion for dismissal on the ground that the Quebec courts lack jurisdiction to hear the dispute. The defendants were also ordered to disclose information to Bruny Surin on the proceeds from the sale of the shoes in Canada.

  39. Lavery represents Sodémex Développement s.e.c. in the acquisition of a 15% interest in a mining royalties portfolio held by Osisko Gold Royalties Ltd.

    On February 17, 2016, Sodémex Développement s.e.c. entered into an agreement with the mining company Osisko Gold Royalties Ltd. (“Osisko”) to acquire a 15% interest in a portfolio of mining royalties including rights on Richmont Mines Inc.’s producing Island Gold Mine, Niogold Mining Corporation’s Marban and Noraltic sites and the Integra Gold Inc.’s Lamaque project.   46. Lavery acts for consortium led by Magris Resources Inc. in the completion of the acquisition of the Niobec mine for a total consideration of US$530 million

    Lavery is pleased to announce it has acted as legal counsel for the Province of Québec to a consortium led by Magris Resources Inc. in the completion of the acquisition of Niobec Inc., a subsidiary of IAMGOLD Corporation (TSX : IMG, NYSE: IAG)  and one of the world’s three primary niobium producers. The total consideration of US$530 million was comprised of a US$500 million cash proceeds payable at closing, as well as an additional US$30 million payable upon commencement of commercial production from adjacent rare earths element properties.   48. Proxy fight: Lavery successfully advises Fancamp

    Lavery, de Billy, L.L.P. acted as special advisor to the Board of Directors of Fancamp Exploration Ltd. ("Fancamp") with regards to a proxy fight launched by a dissenting shareholder, which involved replacing Fancamp’s current board members. A team headed by Michel Blouin and including Sébastien Vézina, Jean Tessier and Maxime Bergeron provided advice to the management of Fancamp on the best possible way to cope with the proxy fight. More specifically, the Lavery team provided to Fancamp legal and strategic advice focusing on hostile takeovers and regulations concerning good governance as well as the smooth functioning of the meeting. In addition, Lavery offered to help Fancamp perform proxy verification so as to ensure that the voting results comply with the requirements set out by the Securities Transfer Association of Canada. The dissenting shareholder’s attempt was rejected at Fancamp’s Annual Shareholders’ Meeting that was held on October 26, 2012 in Toronto. Michel Blouin, Sébastien Vézina and Jean Tessier were present at the Meeting to advise and assist the management of Fancamp and the Chairman of the Board.
