Marie-Andrée Gravel practises in the field of commercial and transactional law, primarily in the areas of mergers and acquisitions and corporate reorganisations. More particularly, she advises managers of major corporations and coordinates clients' legal matters such as litigation and regulatory compliance with various law firms in other jurisdictions and other professional firms (auditors, environmental specialists, actuaries).

Ms. Gravel also represents clients regarding all aspects of domestic and international mergers, acquisitions, investments and joint ventures, including the implementation of such transactions.

She assumes the lead role in the contract negotiations, drafting the legal documentation, supervision of the due diligence investigations and the overall coordination of the various professional participants in the transactions.

In addition, she has extensive experience in negotiating and drafting various commercial contracts such as distribution, franchise, supply, consignment, sale, purchase and licensing agreements, as well as commercial leases, employment contracts and partnership and shareholders' agreements.

Ms Gravel is also listed in the 2012 edition of Best Lawyers in Canada as a leading practitioner in the field of Mergers and Acquisitions Law.

Representative work

• Acted on behalf of SNC-Lavalin in connection with its sale of a $175 million interest in 407 International to Macquarie.
• Acted as Quebec lead counsel for an Ontario limited partnership in the acquisition of a $100 million business engaged in the manufacturing and distribution of paint balls.
• Acted as Quebec lead counsel for a U.S. controlled company in the purchase of a $45 million steel industry service provider that recovers valuable metals contained in slags generated in the production of carbon, stainless steel and ferro-alloys.
• Acted as Quebec lead counsel for a U.S. controlled company in the acquisition of a $21 million business engaged in the research, development, manufacturing and sale of automotive products in North America.
• Acted as lead counsel on behalf of Bowater in connection with purchases and sales of mills.
• Acted on behalf of SNC-Lavalin and the Thyssen Group in connection with domestic and cross-border acquisitions.
• Acted on behalf of various corporations in connection with initial and supplementary rounds of venture capital financing, such as Amphitech and Patrimoine des Eaux du Québec.
