  4. Lavery involved in the construction of the new Île-aux-Tourtes bridge

    Following a qualification process, the Ministère des Transports et de la Mobilité durable du Québec (MTMD) issued a call for tenders in 2022 for the construction of the new Île-aux-Tourtes bridge pursuant to the project delivery method known as design-build-finance (DBF). Since this was a DBF, the financing of this project had to be included in the proposals made by the selected candidates. Lavery represented the successful consortium made up of Dragados Canada Inc., Roxboro Excavation Inc. and Construction Demathieu & Bard Inc. Our role required expertise in the following areas: (a)   Governance and corporate law  (b)  Project financing (banking and securities)  (c)   Public procurement (d)  Construction law (e)   Commercial agreements (f)    Taxation  Lavery represented the consortium from the call for proposals to the financial close, including the drafting phase leading up to the awarding of the contract to the consortium. The financing was the most complex part of this transaction. Under the hybrid approach retained for that project, a major credit facility to be granted by a bank syndicate had to be set up, as well the private placement of two tranches of bonds. This involved adjusting the rights and obligations of creditors on both sides within a sophisticated intercreditor agreement. The financing also required parent company guarantees, including from French and Spanish corporations, which required us to find common ground to accommodate the typical requirements of a North American financing and the specific corporate and commercial features applicable in France and Spain. To meet this challenge, we put together a multidisciplinary team, divided up the work in accordance with our professionals’ diverse expertises, and dedicated a team member exclusively to interactions with the MTMD, its lawyers and the issuers of performance bonds typical for this kind of projects. Sound project management practices were essential to the success of this team effort. It is a privilege for Lavery to have participated in this essential project allowing the people of Quebec to obtain a new bridge linking the regions of Montérégie and Montréal.   8. Lavery helps NorthStar to close an investment round worth approximately CA$ 47 million

    On December 23, 2022, NorthStar Earth & Space Inc. closed a Series C investment round worth approximately CA$ 47 million, with Cartesian Capital Group, LLC, as lead investor through its fund, Pangaea Three Acquisition Holdings III, LLC, Telesystem Space Inc., Luxembourg Future Fund – Co-Investments SA, the Québec Government through its mandatary Investissement Québec, and the Luxembourg Space Sector Development SCSp funded by the world’s leading connectivity solutions provider, SES, and the Luxembourg Government. With this investment, NorthStar will be able to fully finance its Space Situational Awareness (SSA) development project and the launch of its first three monitoring satellites scheduled for mid-2023. Lavery was privileged to represent NorthStar in this important mandate. Our partner, Ms. France Camille De Mers, led the transaction with the support of Mr. Philippe Brassard and Ms. Pamela Cifola, in particular.   11. Lavery assists Agile MV Inc. in the sale of all of its shares to Resonetics

    On June 13, 2022, Resonetics announced the purchase of the entirety of the shares of Agile MV, a Montréal-based medical device design and development contract manufacturing company. The transaction was motivated by the quality of expertise that Agile MV's team of engineers, scientists, and technicians possess throughout the entire production cycle, from initial concept consolidation to mass production. Our partner, Audrey Gibeault, had the privilege of representing the company in this major transaction that involved complex tax planning, among other things. In business law, this transaction was led by our partner Étienne Brassard. Ms. Gibeault and Mr. Étienne Brassard were mainly assisted in this transaction by Gabrielle Ahélo.   12. Lavery assists Premier Parks LLC in the purchase of Calypso-Valcartier Group’s shares

    On June 2, 2022, Calypso-Valcartier Group announced the sale of all of the shares of its two amusement parks, Village Vacances Valcartier located near Quebec City and Calypso, near Ottawa, and more specifically of the shares of the two parks’ operating corporations and their  asset holding corporations. The assets of the two parks are now indirectly owned by EPR Properties, and they are operated by a Canadian subsidiary of Premier Parks, LLC. Our partners, André Vautour and France Camille De Mers, and their team assisted Premier Parks LLC in the due diligence of the parks’ assets and operations. They participated in structuring the new parks’ operating corporations, in the drafting of the share acquisition documentation of both the asset holding and operating corporations, and in the negotiation of all associated terms.   18. Lavery helps to establish an affordable housing fund worth $151 million

    On May 4, 2021, the Government of Canada, the Government of Québec, the Fonds de solidarité FTQ and Ivanhoé Cambridge announced the formation of a consortium of investors that will make $120 million available to co-ops, non-profit organizations (NPOs) and housing agencies for the construction or renovation of affordable housing. The Lucie and André Chagnon Foundation, Fondaction, the Mirella and Lino Saputo Foundation and the J. Armand Bombardier Foundation collectively added $31 million to the sum. The strategic partnership will be managed by the Association des groupes de ressources techniques du Québec (AGRTQ) starting in the fall of 2021.  Lavery Lawyers advised and assisted the project partners with the drafting and implementation of the legal structure and documentation necessary to create and start up the consortium of investors.   25. Lavery Lawyers contributes to the creation of Espace Montmorency

    On June 11, construction began on Espace Montmorency, Laval's largest mixed-use real estate project, worth nearly $500 million. Lavery had the opportunity to play a key role in this major transaction by representing Groupe Sélection in the creation of the consortium for the construction, development and ownership of Espace Montmorency. The organization of such a consortium raised complex issues related to corporate, construction, real estate and labour law all at once. In addition to having been mandated to develop several important project agreements, including the consortium agreement governing the rights and obligations of Espace Montmorency's builders, the lawyers involved in the deal represented Groupe Sélection in the negotiation of the terms of all the agreements ancillary to the project. Espace Montmorency is a sustainable, mixed-use urban development project combining residential, commercial, cultural and community spaces. This human-scale project, located near Place Bell and Laval's main thoroughfares and directly linked to Montréal's subway system, is sure to become a popular destination. Montoni and the Fonds immobilier de solidarité FTQ will now rely on the recognized expertise of our client Groupe Sélection, a Canadian leader in the creation of intergenerational living environments, for the design and construction of the residential portion of the project.     On December 8, 2016, during the CETHR’s 35th anniversary event, André Vautour, Édith Jacques, and Étienne Brassard, all partners from the Business law group, discussed the different aspects of the Canada-EU free-trade agreement (CETA). Among other things, they highlighted the agreement’s huge economic potential for Quebec businesses since it provides access to a new market with very few tariff constraints. Mr. Vautour also addressed the topic of Canada’s strategic geographical position: “This agreement, combined with NAFTA, could turn the Canadian territory into a portal for U.S. businesses that want to reach the European market as well as European businesses that want to access the U.S. market. It’s a significant competitive advantage that we must make the most of to fully benefit from CETA.”

  35. André Vautour and Guillaume Lavoie publish two articles on the marketing rules for Canadian investment funds in Europe in the International Journal for Financial Services

    André Vautour and Guillaume Lavoie, two partners from Lavery, co-authored  two articles published in the November 2016 issue of the International Journal for Financial Services in collaboration with lawyers from the French firm Jeantet Associés (a fellow member of the World Services Group). The articles were respectively titled “Impact of the Possible Extension of the European Passport Regime on Canadian Fund Managers” and “Options Available to Canadian Managers under the European AIF Marketing Rules”. The articles discuss the impact of European Union Directive 2011/61/EU on Canadian investment fund managers who want to raise funds from investors in EU member states. The authors, more specifically, address the conditions of a possible extension of the European passport regime to Canada, the obligations of Canadian managers who would like to take advantage of any such regime, and the options currently available to Canadian managers under private placement regimes in EU member states.

    During June and July, the Institute for Governance of Private and Public Organizations (IGOPP) broadcasted the first video clips in its new series on the governance of SMEs.   41. Corporate and business integrity: a conference organized by Lavery for Quebec’s business community

    On May 5, Lavery’s  Integrity group hosted a business breakfast on issues related to corporate and business integrity. Attendees learned about integrity-related issues to be prioritized, specific ways to identify the internal and external risks facing them, and proven ways to manage those risks. A portion of the discussion also dealt with actions to take in case of a police search and seizure operation and media crisis management. This conference was lead by Marie Cossette, Lavery’s  partner heading the Corporate and business integrity group.   42. Inauguration of the Lavery Room at the Université de Sherbrooke Faculty of Law library

    The Université de Sherbrooke’s Faculty of Law library will receive a makeover as a result of  several sponsors’ contribution including a generous $150,000 donation from Lavery. The renovations that are set to begin in May will be completed by December 2016. At that time, the law students will enjoy a new high-tech work space with amenities on the cutting edge of technology specifically adapted to encourage teamwork. In order to highlight this important contribution, the law Faculty inaugurated a new multimedia room on March 22, 2016, and named it the Lavery Room. The firm that already has privileged long-standing ties with the Université de Sherbrooke has also supported the development of the Faculty of law as well as the activities of the law students’ association (Association générale des étudiants de droit). They are also a partner of the Colloque annuel en politiques et droit de la santé. Members of the firm as well as Mr. André Vautour, Lavery’s Chairman of the board attended the inauguration and are very proud to accompany the Université de Sherbrooke in contributing to the education of the next generation of lawyers.   43. André Vautour and Guillaume Lavoie to give workshop on investment funds at the Barreau du Québec’s conference on recent developments in business law

    On June 3, 2016 at Montreal’s Intercontinental Hotel, André Vautour, the firm’s chairman of the board and a partner who practises particularly in investment funds and Guillaume Lavoie, a partner whose practice focuses on private equity and venture capital, will give a workshop entitled “Sword of Damocles or Scarecrow? To what extent can an investor in an investment fund get involved in the management of the fund without risking of losing its limited liability?” (“Épée de Damoclès ou épouvantail?   52. André Vautour appointed Denmark’s Honorary Consul

    André Vautour, partner at Lavery, has been appointed Denmark’s Honorary Consul for the province of Quebec on October 31, 2012. Mr. Vautour is replacing his colleague, Michel Blouin, partner at Lavery, who held this diplomatic function for more than 23 years. Mr. Vautour’s main responsibilities will revolve around consular, commercial and cultural matters. They will include issuing provisional passports replacing a lost or stolen one, greeting Danish business people or government representatives in Quebec, establish contacts between Danish and Quebec cultural representatives or represent Denmark during events involving the Montreal consular corps.
